1. Agreement & Service Scope
These Standard Commercial Terms govern all professional software engineering, system architecture, database design, and artificial intelligence automation deployments provided by AlgoNexor. When a client signs a Statement of Work (SOW), they signify their full agreement to these operational boundaries.
We build customized microservices, enterprise SaaS portals, and LLM-powered agent workflows according to specifications. Any modifications to project scope after signing require a formal, written change order detailing updated hour rates, timeline projections, and milestone offsets.
2. Commercial Engagements & Milestone Payments
Projects are structured around sequential engineering milestones. Each milestone requires a defined sign-off verification from the client before our team begins work on subsequent stages. Payment terms are strictly Net-15 from the date of invoice generation.
Delayed payments exceeding 15 business days automatically halt active development streams and API access key integrations. Invoices remaining unpaid for more than 30 days are subject to late fee interest calculated at a rate of 1.5% monthly on outstanding balances.
3. Intellectual Property Ownership
AlgoNexor operates under a clean code-transfer policy. Upon receipt of final milestone payments and account settlements, all custom-coded frontend components, schemas, configurations, and application source directories developed specifically for the client transfer to their full ownership.
However, AlgoNexor retains exclusive ownership of its pre-existing library utilities, core orchestration systems, API boilerplate integrations, and deployment skeletons. We grant the client a non-exclusive, perpetual, royalty-free license to use these embedded structures inside their deliverables.
4. Staging Environments & Hosting Dependencies
All software testing, code validation, and system walk-through validations are performed inside our secure staging environments hosted on Amazon Web Services (AWS) or Google Cloud Platform (GCP). Clients are responsible for maintaining their own production cloud licenses, database tokens, and hosting fees.
AlgoNexor is not liable for runtime failures, service lapses, or data outages caused by third-party hosting platforms, managed database systems, payment gateways (e.g. Stripe), or SMS messaging channels (e.g. Twilio) deployed inside the client's production cluster.
5. Artificial Intelligence Ethics & Model Safeguards
In aligning with modern compliance boundaries, AlgoNexor implements strict AI ethics guidelines. We explicitly warrant that no proprietary dataset, custom system query, or database parameter processed through client-owned LLM agents is used to train public or global model weights.
All custom training, fine-tuning scripts, and vector storage indices are isolated strictly inside dedicated client environments. The client agrees not to deploy our software structures for illegal, deceptive, or automated data extraction operations.
6. Limitation of Liability & Arbitration
AlgoNexor provides custom software "as-is." While we maintain high testing standards, we do not warrant that operations will run error-free or escape unexpected downtime. Our total financial liability for any claim or breach is strictly capped at the total fees paid by the client under the active SOW.
These terms are governed by regional regulations. Any dispute, claim, or breach that cannot be settled amicably will be resolved exclusively through formal arbitration held within the jurisdiction of our primary development HQ in Ahmedabad, India.
